Answer: We were requested to provide legal consultation service for reviewing Sale Agency Contract in English under Vietnam Law.
We therefore would like to present herewith our legal service proposal for your consideration.
1.SCOPE OF WORK
Our provision of services shall be as follows:
To study your demand or business goals in the contemplated transaction;
To analyse legal exposure that Client needs to account during performing the contemplated transaction;;
Other legal issues to be considered in order to secure legality of the contemplated transaction. 2. Contract review:
Review and revise the Contract in order best protect right and interest of Client in light of Vietnam Law;
Revise the Contract based on comments of Client.
With the above scope of work, we propose our work schedule as follows:
a. General advice: We shall collect necessary information and document from Clients. Upion receipt of the same, we shall study and ananlyse important legal issue relating to the contemplated transaction. For the purpose of clear understanding of your business goal, we may propose a face to face meeting with your Project Manager for further detailed discussion. We anticipate that it shall take us about 03 working days from receipt of necessary information and documents Client to complete this work. The time schedule does not include time for meeting with your Project Manager.
b. Review the Contract: Based on our deep understanding business goal and legal position of Client, we shall review and revise the Contract in order to best protect right and interest of Client in light of Vietnam Law. We planned to complete review and translation of Contract within 05 working days from completion of genegal advice. The time schedule does not include time required for revising the contract based on your specific comments.
2. SERVICE FEES
Our service fees for above said scope of work shall be as follows:
- Our fees for reviewing the Contract from English shall be 25,300,000VND (In words: Twenty five million and three hundred thousand Vietnam Dong).
- Our fee for reviewing and revising the Contract based on comments of your business partners from the 3rd time after delivery of the first revievewed version shall be based on our actual working time of assigned lawyer. Our hourly rate shall be 4,500,000VND/01 working hour. SB Law shall deliver Client weekly report on service s performed and incurred service fee. Such supplemental fee shall be paid wwithin 03 working days from receipt of invoice of SB Law.
