Question: I am writing to you regarding a nominee service in Vietnam. We are looking to appoint nominee shareholder and a second legal representative.
Kindly advise if you provide such services and advise regarding the fees.
Answer: I am Lawyer of SB Law. I was entrusted to provide you information about our nominee second legal representative and nominee shareholder service of SB Law.
For this, we have following service packages:
A. NORMAL PACKAGE -SECOND LEGAL REPRESENTATIVE
- SB Law's Lawyer shall act as second legal representative of the Company.
- Second legal representative shall not sign off any documents on behalf of the Company.
- Second legal representative shall not directly liaise with employee nor customer/ supplier of the Company.
- Second legal representative shall act as Deputy Director/ Deputy Manager of the Company.
- If the Company requests second legal representative to act on behalf of the Company to resolve dispute, following litigation/arbitration process, contract negotiation or other licensing process, it shall be subject to separate quotation.
Our service fee for this NORMAL PACKAGE shall be 15,000,000VND/01 month. Service fee shall be paid for 6 months per time.
B. PRIMARY PACKAGE -SECOND LEGAL REPRESENTATIVE
- SB Law's Lawyer shall act as second legal representative of the Company.
- Second legal representative shall sign off any documents on behalf of the Company upon it is approved by authorized level of the Company. Second legal representative shall refuse to sign off document if he/she finds that the document does not comply with Vietnam Law.
- Second legal representative shall not directly liaise with employee nor customer/ supplier of the Company.
- If the Company requests second legal representative to act on behalf of the Company to resolve dispute, following litigation/arbitration process, contract negotiation or other licensing process, it shall be subject to separate quotation.
Our service fee for this PRIMARY PACKAGE shall be 25,000,000VND/01 month. Service fee is exclusive of VAT (10%), actual cost for communication and printing and photocopy (if any).
C. NOMINEE SHAREHOLDER SERVICE:
- Nominee Shareholder shall sign off any documents on behalf of the Company upon it is approved by authorized level of the Company. Nominee Shareholder shall refuse to sign off document if he/she finds that the document does not comply with Vietnam Law.
Our service fee for this NOMINEE SHAREHOLDER SERVICE shall be 35,000,000VND/01 month. Service fee is exclusive of VAT (10%), actual cost for communication, traveling fee and accomodation cost for joining meeting of shareholders (if so required).
