I. SCOPE OF SERVICES
SBLAW is ready to provide package services to you for the purpose of establishing wholly Foreign Invested Enterprise in Vietnam to conduct trading activities as follows:

| Preparation of the application documents:
· Notifying application documents required in accordance with Vietnamese law; · Drafting application documents required for submission purpose including application, power of attorney, board resolutions in English language; · Liaising with client to discuss the draft application documents; · Amending the application documents based on client’s comments; · Obtaining preliminary comments from the licensing authority on the draft application documents; · Finalizing the application documents following comments from the licensing authority; and · Translating the final version of the application documents into Vietnamese for execution. |

| Licensing procedures:
· Submitting the application dossier to the licensing authority; · Monitoring and following up with the relevant authorities on the approval process, i.e. Department of Planning and Investment, Department of Industry and Trade, Ministry of Planning and Investment; Ministry of Industry and Trade; · Keeping client updated on the developments and additional requirements (if any); and · Receiving and delivering results to Client. |

| Post-licensing procedures:
· Making announcement on establishment of NewCo; · Obtaining the company seal and seal sample registration; · Obtaining the company’s Tax Identification Number. |

II- PROFESSIONAL FEE
- For setting-up a wholly FIE which exercises import right, export right, distribution right (without setting up wholesale/retail outlet), SBLAW kindly offer the professional fee of US$ 8,000 (U.S. Dollars Eight thousand).
- For setting-up a wholly FIE which exercises trading (import, export right), SBLAW kindly offer the professional fee of US$ 6,000 (U.S. Dollars Six thousand).
Note: This fee is exclusive of VAT and other cost and expense as stated in Annex I herein.
